The unique and exclusive rights of a potential buyer with respect to such potential transaction, ownership or information provided herein or in connection with the sale of the property are limited to those expressly provided for in a closed purchase agreement and are subject to its terms. In the event of any conflict or ambiguous language between this Purchase Agreement and any of the other Offer Package Materials, the parties will be subject, on the one hand, in accordance with this Purchase Agreement and, on the other hand, in accordance with the other documents contained in the Offer Package. Additional documents or information submitted by Seller that are ambiguous and do not conflict with this Purchase Agreement or other Offering Package Materials are incorporated herein by this reference. Under the terms of the asset purchase agreement, we paid Taro a two-instalment advance payment of $1 million in December 2016 and $7.5 million in March 2017 and will pay a total of $7.5 million in potential milestones towards certain product sales targets.
